Affiliate Program (Referral Program) Terms of Service

Overview

These terms govern participation in the Sai Praveen Advisory Portfolios Affiliate Program (“Referral Program”) operated by Research Analyst Sai Praveen. By enrolling in or participating in the Program, affiliates acknowledge and agree to abide by these Terms of Service.

Ranks & Referral Commission

Direct Referral Commissions:

• Silver Rank: 10% referral commission on each new client acquisition.

• Gold Rank: 20% referral commission — eligibility: minimum 25 successful referrals and cumulative referral revenue of ₹5,00,000.

• Diamond Rank: 30% referral commission — eligibility: minimum 100 successful referrals and cumulative referral revenue of ₹10,00,000.

Multilevel Referral Commissions:

Affiliates are eligible for multilevel referral commissions under a unilevel structure as follows:

• Level 1: 15%
• Level 2: 10%
• Level 3: 5%

Payment mechanics:

• Direct/referral commissions (per rank) apply to the affiliate who directly refers a new client.
• Multilevel commissions are paid as override percentages on the direct referral commission earned by the immediate upline, not in addition to the direct commission. Example: A (Silver) refers B — A receives a 10% direct commission on B. If B (Silver) then refers C, B receives a 10% direct commission on C and A receives a Level‑1 override equal to 15% of B’s direct commission (15% of 10% = 1.5% of the transaction value).

RA Sai Praveen reserves the right, at his sole discretion, to rename ranks, modify referral commission percentages or eligibility conditions, and to alter or discontinue unilevel percentages, payment mechanics, caps, or any other element of the Program.

Eligibility and Qualification

• “Successful referral” means a referred client who completes a qualifying subscription or purchase as defined by the RA. Rank upgrades become effective only after the RA verifies that the qualifying thresholds (successful referrals and cumulative referral revenue) have been met. The platform’s records maintained by the RA are final and binding for all eligibility determinations.

Use and Restrictions on Referral Commissions

• Referral commissions may be redeemed exclusively toward portfolio subscription or membership plans offered by RA Sai Praveen through www.shubhaang.com. Commissions are non-transferable and may not be assigned, sold, gifted, or otherwise conveyed to any third party. Commissions are not withdrawable and will not be paid out in cash or any other form. Each affiliate may apply referral commissions to only one subscription plan per calendar year. Referral commissions are subject to an annual redemption cap of ₹1,51,000 per affiliate. Referral commissions are provided as discretionary gifts and do not constitute an entitlement or legal right.

Validity and Forfeiture

• Referral commissions remain valid only while the associated services are active. If the RA reasonably suspects misuse, abuse, fraud, or any violation of the Program or advisory/service terms, all unutilized referral commissions may be suspended and permanently forfeited. The RA may withhold commissions pending investigation of any suspected improper activity.

Reporting and Verification

• The RA will track referrals and referral revenue in its internal systems and may provide periodic statements at its discretion. Affiliates must promptly report any discrepancies to the RA. In the event of a dispute, the RA’s records shall be final and binding.

Termination and Modification

• RA Sai Praveen reserves the right, at his sole discretion, to modify, suspend, or terminate the Program or these Terms at any time, with or without notice. He may change rank criteria, commission rates, caps, usage rules, or any other Program element; affiliates are responsible for reviewing these Terms regularly.
